TISG receives 11 non-binding offers as selection process moves to next phase

The Italian Sea Group has received 11 non-binding offers at the close of the first phase of the competitive process launched on 9 August to identify potential investors as part of the company’s restructuring. The figure officially defines the pool of parties that have formalised their interest by submitting a proposal within the deadline. TISG stated that the 11 offers involve transactions structured in two different ways, as Asset Deals and Share Deals: in the former case, the transaction concerns the acquisition of specific assets, businesses or business units within the company’s perimeter, while in the latter it involves the acquisition of shares in the company. The press release does not specify how the proposals are divided between the two structures, nor does it provide details of their contents.

The offers are now being assessed by The Italian Sea Group’s advisors, who will identify the parties eligible to enter the second phase of the competitive process. Those selected will proceed to a more in-depth due diligence process ahead of submitting their final proposals. The next deadline announced by the company is 15 October 2026, by which binding offers are expected to be received. The identities of the 11 participants and the contents of their respective offers will remain confidential. TISG said confidentiality is being maintained to ensure the proper conduct of discussions and of the ongoing procedure.

The completion of the first phase therefore moves the competitive process from the collection of non-binding offers to the selection of potential investors that will be allowed to examine the TISG dossier in greater depth and proceed towards submitting binding offers by mid-October.
